END USER LICENSE AGREEMENT ("EULA") FOR SOFTWARE
PLEASE READ THIS EULA CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
This EULA is a legal agreement between you (either an individual or a single entity) and BotWithUs LLC for the use of the BotWithUs software ("Software"). By accepting this EULA, you agree to be bound by the terms and conditions of this agreement.
LICENSE GRANT
BotWithUs LLC hereby grants you a revocable, limited, nonexclusive license during the term of this EULA to use the Software, solely for your personal, non-commercial use, and subject to the limitations set forth in this EULA. BotWithUs LLC grants nonexclusive licenses and not exclusive licenses or assignments. All rights not expressly granted in this EULA are reserved.
LIMITED USE
You will not:
- Use the Software for any purpose other than a personal, non-commercial one;
- Disclose any of the Software;
- Sell, lease, license, distribute, or otherwise transfer any rights in the Software to any third party;
- Modify, adapt, translate, or create derivative works based on the Software, except to the extent necessary to use the Software for its intended purposes;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except as expressly permitted by applicable law;
- Remove or alter any trademark, logo, copyright, or other proprietary notices, legends, symbols, or labels in the Software;
- Use the Software in any way that violates any applicable federal, state, local, or international law or regulation;
- Use the Software in any way that infringes any third party's intellectual property rights, privacy rights, or other rights;
- Use the Software in any way that interferes with or disrupts the integrity or performance of the Software or any servers or networks used to make the Software available;
- Use the Software to send spam or other unsolicited messages;
- Use the Software to distribute any malware, viruses, worms, Trojan horses, or other harmful or malicious code or files;
- Use the Software to gain unauthorized access to any system, network, server, or account; or
- Use the Software to engage in any activity that could harm, interfere with, or otherwise negatively affect BotWithUs LLC or its users.
INTELLECTUAL PROPERTY RIGHTS
You acknowledge that the Software and all intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, embodied in or in connection with the Software, are owned by BotWithUs LLC or its licensors.
TERM AND TERMINATION
This EULA shall remain in effect until terminated by you or BotWithUs LLC. BotWithUs LLC may terminate this EULA immediately if you breach any of the terms and conditions of this EULA. Upon termination of this EULA, you must cease all use of the Software and destroy all copies of the Software.
DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BOTWITHUS LLC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
LIMITATION OF LIABILITY
IN NO EVENT SHALL BOTWITHUS LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT
INDEMNIFICATION
You agree to indemnify, defend, and hold BotWithUs LLC, its affiliates, and their respective officers, directors, employees, and agents harmless from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the software, your violation of this EULA, or your violation of any rights of another.
TERM AND TERMINATION
This EULA is effective until terminated by either party. You may terminate this EULA at any time by uninstalling and destroying all copies of the software. BotWithUs LLC may terminate this EULA immediately without notice if you breach any term of this EULA. Upon termination of this EULA, you must cease all use of the software and destroy all copies of the software.
EXPORT RESTRICTIONS
You acknowledge that the software may be subject to export restrictions imposed by the United States government and that you will comply with all applicable export laws, restrictions, and regulations.
GOVERNING LAW AND DISPUTE RESOLUTION
This EULA will be governed by and construed in accordance with the laws of the state of [state], without giving effect to any choice or conflict of law provision or rule. Any dispute arising out of or relating to this EULA or the breach thereof shall be settled by arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
ENTIRE AGREEMENT AND AMENDMENTS
This EULA constitutes the entire agreement between you and BotWithUs LLC regarding the use of the software and supersedes all prior or contemporaneous agreements or understandings, whether written or oral. BotWithUs LLC may amend this EULA at any time by posting the amended EULA on its website. Your continued use of the software after such posting will constitute your acceptance of the amended EULA.
SEVERABILITY
If any provision of this EULA is held to be unenforceable or invalid, such provision shall be amended to achieve as nearly as possible the same economic effect as the original provision and the remainder of this EULA shall remain in full force and effect.
WAIVER
No waiver of any term, provision, or condition of this EULA, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or construed as a further or continuing waiver of any such term, provision, or condition or as a waiver of any other term, provision, or condition of this EULA.
PROHIBITED AFFILIATIONS AND ACTIVITIES
If you are affiliated with any anti-cheat organization or any other gaming-related company, you are prohibited from accessing, purchasing, or using our services without express permission from the owners of BotWithUs LLC.
BotWithUs LLC reserves the right to terminate your license and access to the software immediately and without notice if you violate this section of the EULA.
